How does the ownership and management structure work?

You are the 100% owner (shareholder) of your DPK company. ComBG’s Bulgarian entity serves as the registered corporate manager — this is a standard arrangement under Bulgarian law that allows legal entities to manage Variable Capital Companies. You retain full control through the General Meeting: you decide on profit distribution, approve budgets, set strategy, and can replace the manager at any time with 30 days’ notice. ComBG handles government filings, compliance, document signing, and all interactions with Bulgarian authorities on your behalf.

Do I need to visit Bulgaria?

No. The entire process is completed without you ever visiting Bulgaria or appearing before a notary. Because ComBG serves as the corporate manager, our local team handles all notarial requirements and government filings directly. You don’t need a Power of Attorney, apostilled documents, or consulate appointments.

How long does registration take?

Typically 3–5 business days from the moment we have your completed application and KYC verification. DPK registration is faster than traditional EOOD because no bank escrow account is needed for capital.

What is a DPK and why is it better than an EOOD?

A DPK (Дружество с променлив капитал / Variable Capital Company) is a modern company form introduced in Bulgarian law in 2023, designed for startups and innovative businesses. Unlike EOOD, a DPK allows a legal entity to serve as manager (enabling our fully remote model), doesn’t require a bank escrow account for capital, keeps shareholders off the public register, and supports share classes for future investors. It has the same 10% corporate tax rate and full EU legal standing.

Can I open a bank account remotely?

Yes. We coordinate business banking setup with partners that support remote onboarding, including Revolut Business, Wise Business, and select Bulgarian banks. Since DPK formation doesn’t require a Bulgarian bank account for capital contribution, you can start operating immediately with a fintech account and add a traditional Bulgarian bank later if needed.

What documents do I need?

A valid passport or national ID, and proof of address (utility bill or bank statement less than 3 months old). That’s it. We handle all Bulgarian-language document preparation, notarization, and filing.

Every Bulgarian company must have a registered office address (седалище и адрес на управление) filed with the Commercial Register. This is the official address for government correspondence, court notifications, and tax documents. Is a Bulgarian company right for my business?

What ongoing obligations will I have?

As shareholder, your only obligation is to approve annual financial statements and decide on profit distribution at the annual General Meeting (which can be done electronically). ComBG handles all filings: annual corporate tax return (by June 30), annual financial statement publication, monthly VAT returns if VAT-registered, and all social security declarations.

Can I hire employees through my Bulgarian company?

Yes. DPK companies can hire employees both locally and internationally. We can assist with payroll setup, social security registration, and employment contracts as part of our Expert plan.

Question 11

What if I want to change managers or leave ComBG?

Accepted Answer

You have full control. As sole shareholder, you can replace ComBG as manager at any time through a General Meeting resolution with 30 days’ notice. We’ll facilitate the transition to your new manager, transfer all documentation, and ensure a clean handover. There are no lock-in penalties.

Are there size limits on a DPK?

Yes — a DPK must remain a micro or small enterprise (under 50 employees, under ~€2M in assets). If your company outgrows these limits, we help you convert to an OOD or AD structure, which is a straightforward legal process.
